Terms of Service Agreement

These Terms of Service ("Terms") govern your access to and use of prismdatagroup.com and any software products, websites, or services offered by Prism Data Group ("we", "us", or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your country) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for any activity that occurs through your use of the Services, and for keeping any account credentials secure. You agree not to:

7. Limitation of liability

To the fullest extent permitted by law, Prism Data Group and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Our total aggregate liability arising out of or in connection with the Services shall not exceed one hundred U.S. dollars (US$100) or the amount you paid us in the twelve months preceding the claim, whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless Prism Data Group from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

10. Changes to the Services and Terms

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms from time to time. Material changes will be reflected by updating the "Effective" date above and, where appropriate, by notice through the Services.

11. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes.
